The Board of Directors of Technics Oil & Gas Limited (“the Company”) wishes to announce that its wholly-owned subsidiary, Technics Offshore Engineering Pte Ltd (“TOE”) has incorporated a wholly-owned subsidiary in V Offshore Engineering Pte Ltd on 5 October 2012:

特藝石油能源有限司(簡稱”公司”)董事會謹此宣佈，全資子公司-特藝岸外工程私人有限公司(簡稱”TOE”)已於2012年10月5日註冊V岸外工程私人有限公司為全資子公司。

(1) Name of subsidiary:          V Offshore Engineering Pte Ltd
子公司名稱:                      V 岸外工程私人有限公司

(2) Issued and Paid-up capital:  SGD75.00 respectively
已發行及繳足資本                 分別為新幣75.00元

(3) Shares to be held:           100% owned held by TOE by way of subscription
                                 of 75 ordinary shares of SGD1.00 each
持有股份                         TOE透過以每股新幣1元認購75股的方式100%擁有

(4) Principal activities:         Provision of engineering services and fabrication
                                  of equipment and provision of technical services
                                  in the Oil & Gas Industry                    
          主要業務:                                                    於油氣產業中提供工程服務與設備組裝及提供技術服務

The rational for the investment is to expand the group’s businesses into the growing Oil & Gas and Marine market which is currently at the uptrend.
本項投資是係基於集團擴大於油氣與海事市場目前正處於成長趨勢中的業務。

This investment is funded by internal resources and is not expected to have any material impact on the consolidated net tangible assets per share or earnings per share of the Company for the financial year ending 30 September 2013.
本項投資係由公司內部資金支應，預期不會對2013年9月30止財政年度中的每股綜合有形資產淨值或每股盈餘有任何重大影響。

None of the directors or controlling shareholders of the Company has any interest, direct or indirect, in the above transaction.
本公司董事或控股股東於上述交易中概無涉入任何直間或間接的利益。
